Sayenko Kharenko Advises on Sale of Helsi to Kyivstar

Sayenko Kharenko has acted as legal counsel to the shareholders and management of LLC “Helsi Ukraine” (“Helsi”), the leading digital health care provider in Ukraine, with respect to the sale of a controlling stake in Helsi to PrJSC “Kyivstar” (“Kyivstar”) and creation of a joint venture.

The transaction is aimed at gathering Kyivstar’s world-class expertise in providing high-quality converged connectivity with Helsi’s unique digital healthcare experience, which will result in a new digital service. The service will be available to the entire population of Ukraine, including 6.4 million Ukrainian refugees and the estimated 8 million internally displaced Ukrainians.

Sayenko Kharenko team provided comprehensive sell-side legal support, including deal structuring, drafting and negotiating transaction documents, signing and closing assistance, advising on complex corporate and IP matters.

Helsi is the largest medical information system and a leading digital provider in the field of healthcare in Ukraine. More than four million people are already the users of the Helsi mobile application, with 10 million consultation bookings and 3 million online consultations per month. More than 1,300 healthcare institutions and over 49,000 doctors throughout Ukraine use the system monthly.

Kyivstar is the largest digital operator in Ukraine with 24.8 million mobile subscribers and over 1.2 million home internet subscribers as of June 2022. The company provides services based on a wide range of mobile and fixed-line technologies, including 4G.

Sayenko Kharenko corporate and M&A team working on the transaction was led by senior associate Ilhar Hakhramanov with support from associate Nazarii Pylypchuk.
