INTEGRITES advised Avia Solutions Group, a leading aerospace services group with almost 100 offices and production stations worldwide, on Ukrainian aspects related to the strategic partnership with Certares Management LLC (Certares), a leading US-based investment adviser operating in the tourism and hospitality sectors.
The partnership envisages a €300 million structured equity investment of Centares in Avia Solutions Group. The investment will help enable the next phase of Avia Solutions Group’s growth plan for services in passenger and cargo aviation, maintenance and engineering, crew training, ground handling and logistics.
The transaction is subject to customary conditions and approvals and is expected to close in Q4 2021.
INTEGRITES conducted vendor due diligence of the material subsidiary of Avia Solutions Group in Ukraine. Avia Solutions Group was advised by Morgan Stanley & Co. International plc as a financial adviser and White & Case as a legal adviser. Certares was advised by Herbert Smith Freehills as a legal adviser.
