Hillmont Partners has advised Tencore, a Ukrainian developer and manufacturer of defence technologies specialising in unmanned ground systems, on the establishment of a joint venture with the German technology company Quantum Systems for the production of unmanned ground systems in Germany. Tencore's flagship product is TerMIT, a modular tracked platform designed for logistics, casualty evacuation, engineering and other missions.
Hillmont Partners provided comprehensive legal support on the establishment by Quantum Systems and Tencore of the joint venture Quantum Tencore Industries, set up under the German‑Ukrainian Build with Ukraine initiative.
Quantum Tencore Industries has been created to scale up the production of combat‑proven unmanned ground systems and to combine Ukrainian technological and operational expertise with German industrial capacity. The joint venture was announced on 14 April 2026 during the Ukrainian‑German intergovernmental consultations in Berlin.
Over the next 12 months, Quantum Tencore Industries will manufacture 2,000 TerMIT unmanned ground systems in Germany for Ukraine's Defence Forces. According to the parties' announcement, the programme is funded by the German Federal Ministry of Defence and represents one of Europe's most significant procurements of unmanned ground systems.
Hillmont Partners advised on the project from the earliest stage of structuring the cooperation between the parties and negotiating the future joint venture model.
The firm's work included:
- structuring the joint venture and its corporate governance framework;
- drafting, reviewing and negotiating the joint venture agreement;
- preparing and negotiating the corporate, commercial and ancillary documentation required to implement the transaction;
- coordinating the incorporation of the joint venture in Germany;
- advising on Ukrainian merger control and competition law aspects of the transaction; and
- coordinating with other legal advisers involved in the project.
Working alongside Bono Legal, Hillmont Partners also advised on obtaining merger control clearance from the Antimonopoly Committee of Ukraine for the acquisition of joint control. The mandate included analysing the deal structure under Ukrainian competition law, preparing and filing the notification, and liaising with the regulator through to obtaining clearance.
