On 10 December 2025, the Ukrainian Government adopted Resolution No. 1410-r, approving an Action Plan (“Action Plan”) for the preparation of draft legislative and regulatory acts required for discontinuing the Unified State Register of Enterprises and Organisations of Ukraine (“USREOU”).
The Action Plan does not discontinue the USREOU at this stage. Rather, it serves as a roadmap for transitioning to a model under which the Unified State Register of Legal Entities, Individual Entrepreneurs and Civic Organisations (“Unified Register”), administered by the Ministry of Justice of Ukraine, will become the single core register of information on legal entities, individual entrepreneurs and civic organisations.
The USREOU, which is maintained by the state statistics authorities, has historically been used for the accounting and identification of legal entities, including for statistical purposes, whereas the Unified Register is the key register of legally significant information on such entities. The parallel existence of these two registers has resulted in duplication of data and procedures in the activities of public authorities and state IT systems. The Action Plan provides for the consolidation of registration data in the Unified Register and the organisation of data exchange between public authorities on that basis.
In particular, during 2026, the central executive authorities are expected to prepare, inter alia:
- amendments to legislation governing the identification of legal entities within the Unified Register, including: (i) procedures for assigning identification numbers to Unified Register entities (other than individual entrepreneurs); (ii) deadlines for uploading into the Unified Register information on legal entities registered under previous procedures; and (iii) the legal consequences for entities whose information is not included in the Unified Register;
- mechanisms and deadlines for entering complete registration data into the Unified Register;
- draft decisions repealing the regulatory acts governing the operation of the USREOU;
- the procedure for transferring historical USREOU data to the National Archival Fund; and
- measures to ensure the use of Unified Register data in the formation and updating of address and reference information in the Unified Register of State Property.
The final date for the discontinuation of the USREOU is expected to be determined after amendments are introduced to the Law of Ukraine “On State Registration of Legal Entities, Individual Entrepreneurs and Civic Organisations” No. 755 IV dated 15 May 2003. Under the Action Plan, a draft resolution on the discontinuation of the USREOU is to be developed and submitted to the Cabinet of Ministers of Ukraine in Q2 2026.
